This Terms of Service Agreement ("Agreement") is a legal agreement between you ("User" or "you") and Gydme Inc. ("Gydme," "we," "our," or "us"), governing your use of our platform that facilitates remote patient counselling on prescriptions ("Services"). By accessing or using our Services, you agree to be bound by this Agreement. If you do not agree to these terms, you must not use our Services.

1. Acceptance of Terms

By accessing, browsing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement, including any future modifications. If you do not agree to these terms, please do not use the Services.

2. Description of Services

Gydme provides a platform that connects patients with licensed healthcare professionals for remote counselling on prescriptions & related services and support. The Services are designed to facilitate communication and information exchange related to prescription use, adherence, and management.

3. Eligibility

To use the Services, you must be at least 18 years old and capable of entering into a legally binding agreement. By using the Services, you represent and warrant that you meet these requirements.

4. User Account

• Registration: You must create an account to access certain features of the Services. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
• Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use of your account.

5. Use of Services

• Permitted Use: You may use the Services for lawful purposes only. You agree not to use the Services in any way that could damage, disable, overburden, or impair the Services or interfere with any other party's use of the Services.
• Prohibited Activities: You agree not to:
  • Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.
  • Upload, post, or otherwise transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
  • Violate any applicable local, state, national, or international law.
  • Engage in any activity that interferes with or disrupts the Services or the servers and networks connected to the Services.

6. Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information. By using the Services, you consent to the collection and use of your information as described in our Privacy Policy.

7. Intellectual Property

• Ownership: Gydme owns all right, title, and interest in and to the Services, including all intellectual property rights. This Agreement does not grant you any ownership rights to the Services.
• License: Gydme grants you a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal, non-commercial use.

8. Disclaimers

• Medical Advice: The Services are not intended to replace professional medical advice, diagnosis, or treatment. Always seek the advice of your physician or other qualified healthcare provider with any questions you may have regarding a medical condition.
• No Warranties: The Services are provided "as is" and "as available" without warranties of any kind, either express or implied. Gydme does not warrant that the Services will be uninterrupted or error-free, nor do we make any warranty as to the results that may be obtained from the use of the Services.

9. Limitation of Liability

To the fullest extent permitted by law, Gydme shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use of or inability to use the Services; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from the Services; (d) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Services by any third party; or (e) any errors or omissions in any content or for any loss or damage of any kind incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available via the Services, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not Gydme has been informed of the possibility of such damage.

10. Indemnification

You agree to indemnify, defend, and hold harmless Gydme, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from your use of the Services, your violation of this Agreement, or your infringement, or infringement by any other user of your account, of any intellectual property or other right of any person or entity.

11. Termination

Gydme may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach any terms of this Agreement. Upon termination, your right to use the Services will immediately cease.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario, without regard to its conflict of law principles. Any legal action or proceeding arising under this Agreement will be brought exclusively in the federal or provincial courts located in Ontario, Canada, and you hereby irrevocably consent to the personal jurisdiction and venue therein.

13. Changes to this Agreement

We reserve the right to modify this Agreement at any time. If we make changes, we will post the revised Agreement on our website and update the "Last Updated" date at the top of this Agreement. Your continued use of the Services after the effective date of the revised Agreement constitutes your acceptance of the terms.

15. Entire Agreement

This Agreement constitutes the entire agreement between you and Gydme regarding the use of the Services and supersedes all prior or contemporaneous understandings and agreements, whether written or oral, regarding such subject matter.

By using the Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
